1. Agreement to Terms

By accessing or using the website at baltaymedia.com, or by engaging Baltay Media LLC for any services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access the website or use our services.

2. Services

Baltay Media LLC provides performance marketing services for real estate professionals. Our services include Google Ads campaign management, lead generation, lead nurture, and lead conversion services. All services are provided on a performance basis as outlined in individual service agreements.

3. Performance-Based Pricing

Baltay Media operates on a performance-based pricing model. Clients are billed based on results, specifically closed deals. Specific fee structures, payment terms, and performance milestones are outlined in your individual service agreement.

No payment is owed until the performance milestones defined in your service agreement have been met. This ensures our interests are fully aligned with yours — we only succeed when you succeed.

4. Client Responsibilities

As a client of Baltay Media, you agree to:

  • Provide accurate and timely access to your Google Ads account and any other required platforms
  • Respond to communications from Baltay Media in a timely manner
  • Maintain an active Google Ads account with valid billing information
  • Comply with Google's advertising policies and all applicable laws and regulations
  • Provide accurate and truthful information in all dealings with Baltay Media

You are solely responsible for all information you provide to Baltay Media, including but not limited to business details, client data, and account credentials.

5. Intellectual Property

All strategies, workflows, campaign structures, automation systems, proprietary processes, and marketing systems developed by Baltay Media remain the exclusive intellectual property of Baltay Media LLC. This intellectual property may not be copied, reproduced, distributed, or used by any third party without prior written consent.

Ownership of intellectual property is not transferred to the client unless explicitly agreed upon in writing in a separate agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. Confidential information includes, but is not limited to:

  • Campaign data, strategies, and performance metrics
  • Lead data and contact information
  • Business strategies, processes, and pricing structures
  • Account credentials and platform access details

Neither party shall disclose confidential information to any third party without the prior written consent of the other party, except as required by law.

7. Limitation of Liability

Baltay Media does not guarantee specific lead volumes, conversion rates, revenue outcomes, or any particular results from our marketing services. Marketing performance depends on numerous factors outside our control, including but not limited to:

  • Market conditions and competition in your area
  • Client responsiveness to leads and follow-up
  • Third-party platform policies, algorithm changes, and service availability (including Google Ads)
  • Economic conditions and seasonal fluctuations

To the maximum extent permitted by law, Baltay Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to our services.

8. Termination

Either party may terminate services by providing 30 days written notice to the other party. Written notice may be delivered via email to the contact addresses specified in your service agreement.

Upon termination, any outstanding performance fees owed for deals that were closed prior to the termination date remain payable in full according to the terms of your service agreement. Baltay Media will provide reasonable assistance in transitioning campaign management upon termination.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in the Commonwealth of Massachusetts.

10. Changes to These Terms

Baltay Media reserves the right to update or modify these Terms of Service at any time. We will notify active clients of any significant changes via email. Your continued use of our website or services after any changes constitutes your acceptance of the updated terms.
